TERMS AND CONDITIONS

These Terms and Conditions ("Terms and Conditions"), and any and all documents referenced herein, upon your acceptance, constitute a binding agreement ("Agreement") between PT Harmoni Dinamik Indonesia, with its registered address at Jl. Probolinggo No.18, RT.1/RW.2, Gondangdia, Menteng Subdistrict, Central Jakarta City, Special Capital Region of Jakarta 10350 ("HDI", "we"), and you ("You", "BEE").

These Terms and Conditions govern the legal terms for the use of the HDI sales platform at https://www.hdi.com ("Site") for purchasing Products in Indonesia ("Indonesia Region") and for the terms related to being a BEE. These Terms and Conditions replace all prior agreements, representations, or understandings. We have published these Terms on our website, which is accessible to you, and we recommend that you print or save a copy of these Terms along with any related documents containing this Agreement.

REQUIREMENTS
The following definitions apply to these Terms and Conditions:
1. The Products sold on the Site are not intended for purchase by minors. Individuals under the age of 18 may access the Site only under the supervision and consent of a parent or legal guardian.
2. You also represent and warrant that you are fully capable and competent to agree to the terms, conditions, obligations, affirmations, statements, and warranties outlined in these Terms, and to be bound by and comply with these Terms and Conditions.
3. You represent and warrant that you are able to make payments using the payment methods authorized by the Site.
4. You understand the provisions related to BEE and their functions.
YOUR ACCOUNT
If you register with us through the Site ("BEE"), you are responsible for selecting a secure password containing at least 6 characters, maintaining the confidentiality of your account and password, and restricting access to your computer or device. You agree to be responsible for all activities that occur through the use of your account or password. We reserve the right to refuse service, suspend accounts, remove or edit content, or cancel orders based on our policies.
PRODUCTS

"HDI Products" or "Products" are those offered for sale under the HDI Trademark. All Products, prices, offers, and promotions listed on the Site are valid and binding only for the specified period, or, if no period is indicated, for the duration of your browsing session. Product details on the Site include descriptions of the main characteristics of the Products.

The product images in our catalog or on our website are for illustration purposes only: the shape, color, and size of the products delivered to you may differ from the examples shown in our catalog or on our website, and such differences do not constitute product defects.
PLACING AN ORDER
1. You may place an order on the Site by selecting the Products you wish to purchase. An order is considered an offer made by you to us to purchase the selected Products.
2. An order is deemed placed when the following steps have been completed:
  1. You have selected the Products you wish to purchase using the "add to cart" option; you can review and modify the contents of the shopping cart at any time by changing the quantity of Products, removing Products, or clearing the entire cart;
  2. You have directly accepted these Terms and Conditions;
  3. You have provided the necessary personal information to receive, process, and fulfill your order; and
  4. You have chosen your preferred shipping and payment methods.
3. Once you have placed an order online, the order cannot be modified or canceled. You must ensure that your order is correct before proceeding with it.
4. After we receive your order, an order confirmation may be sent to you via email or checked on the website, thus creating the purchase contract. We reserve the right to refuse your order without providing a reason for the rejection. In such cases, we will refund the full payment you have made.
5. In addition to the order confirmation, you will receive details of the Products shipped to you and all other necessary information.
6. If you place an order online, please note the following:
  1. These Terms and Conditions, together with our confirmation of your order, constitute a contract between you and HDI for the sale and purchase of the Products (which we recommend you keep or print), or as communicated through other means of communication;
7. Orders that have been completed and paid for cannot be canceled by you.
8. Orders can be placed at any time throughout the day, except during certain limitations when we update the Site.
9. The Site may occasionally be unavailable for a certain period due to maintenance or various technical reasons. HDI is not responsible for such unavailability and will reject any claims related to this from Customers or other visitors. The availability of products and services described on the Site, as well as their descriptions, may vary by location and time.
PERSONAL DATA AND PRIVACY
1. If you provide information on the Site, you agree to provide accurate, current, and complete information about yourself when requested, and you agree to update this information as necessary ("Personal Data"). We will use and maintain the Personal Data we collect through the Site in accordance with applicable laws and the HDI Privacy Policy.
BEE
1. BEE Consumers who purchase products directly and officially through HDI.
2. You can register as a BEE by creating an account on the HDI site. As a BEE, you are entitled only to the benefits of the BEE Program. BEE, as retail customers, do not have any rights to participate in any compensation programs specifically reserved for Enterprisers.
3. HDI makes no guarantees regarding the availability or active duration of any Program for Bee or that such Programs will result in any specific income level or other benefits for BEE. HDI reserves the right to update and modify any Program for BEE, including removing, suspending, or changing benefits or programs, or adding new benefits or programs, at any time and at our discretion. Any revisions, modifications, or amendments to the Program for BEE will be published on our website and/or properly communicated through your registered email, and will become effective on the date specified in such publication or notification, but never less than 30 days after. You are responsible for staying updated on any changes.
4. You are informed that BEE are consumers of HDI products and not employees, agents, or representatives of HDI, and are in no way authorized to act on our behalf. BEE or other customers you introduce will purchase from HDI at the prices published by HDI they will choose their products themselves and place orders directly.
5. Enterprisers are bound by our Code of Ethics and Rules of Conduct. We encourage you to notify our customer service team about any unfair, aggressive, or inappropriate behavior by HDI.
6. You may always choose to register yourself as an HDI Enterpriser. Once you register as an HDI Enterpriser, your registration as a BEE will automatically terminate.
7. As a BEE, you can become an HDI ENTERPRISER by making a purchase of IDR 1,665,000 in a single FBPE (Invoice) and providing your ID card (KTP) to join.
8. If you register as a BEE through an HDI Enterpriser Referral, that Enterpriser will automatically become your HDI Sponsor when you register as an HDI Enterpriser.
9. If you are a BEE from an HDI Enterpriser Referral and wish to join as an HDI Enterpriser with a different Sponsor, you must first submit a termination request as a BEE.
10. After 30 days from the date of your termination request, you may re-register as a BEE, and register as an HDI Enterpriser with a new Sponsor.
11. A BEE registered without an HDI Enterpriser Referral can directly register as an HDI Enterpriser after submitting a termination request, without needing to wait for 30 days.
12. BEE are not allowed to resell HDI products through Marketplaces, Stores, Pharmacies, Supermarkets, or others at prices below (Undercutting Price) or at regular prices.
PRODUCT RETURNS
1. If you return a Product to us due to defects or damage, we will exchange it for a new Product, and we will cover all reasonable costs you incur for returning the item to us.
2. For the return process and mechanism, you can contact HDI Customer Service via WhatsApp at 0815-1577-7888 or email er@hdi.com.
3. Please note that products are shipped in sealed condition for health or hygiene reasons, and you cannot cancel the order or return the product if the seal has been opened after delivery. These products are clearly identified on the Site.
4. We have a legal obligation to supply Products that conform to the contract. As a consumer, you will always have legal rights regarding defective or misdescribed Products. These legal rights are not affected by these Terms and Conditions.
5. We further guarantee the quality of every Product bearing the HDI name and state that these products are manufactured by, or for us, to meet the highest quality standards. We are confident that our customers will find our Products satisfactory in all respects. Therefore, we offer a further HDI warranty that allows you to exchange any Product that is defective or damaged. The Product exchange claim must be made within 7 days of receiving the Product. This warranty does not apply to any Products that have been intentionally damaged or misused.

GENERAL TERMS

If any provision of these Terms and Conditions is deemed unlawful, invalid, or unenforceable for any reason, the invalidity of such provision will not affect the validity of the remaining provisions.
HDI's failure to enforce any provision here will not be considered a waiver of its enforceability.
Unless you opt out, we may send you notifications, alerts, emails, direct mail, and generally communicate with you. You can update your preferences for marketing communications from us at any time by accessing your user settings. By accepting these Terms, you agree that HDI will send you information/communications related to your contract and/or your purchase order through a durable medium other than paper (i.e., via email or other methods directed to you personally that allow you to store the information in a way that can be accessed for future reference for a reasonable period and also enables you to reproduce the information without modification).
The notice period for any notice sent via email or other media, including on the website, based on these Terms, will begin on the date of the notice.

HDI PRIVACY POLICY

Introduction and Scope
This Privacy Policy (“Policy”) applies to users accessing HDI's digital platforms, managed by PT Harmoni Dinamik Indonesia (“HDI,” “we,” or “us”).
HDI complies with data protection laws in all jurisdictions where we operate, including:
- Indonesia: Personal Data Protection Law No. 27 of 2022 (UU PDP).
- Singapore: Personal Data Protection Act 2012 (PDPA).
- Malaysia: Personal Data Protection Act 2010 (PDPA).
- Philippines: Data Privacy Act of 2012 (RA 10173).
- Hong Kong: Personal Data (Privacy) Ordinance (PDPO).
By using our platforms, you have read, understood, and consented to the processing of your Personal Data as described in this Policy.
In the event of conflicting interpretations between the Indonesian and English versions, the Indonesian version shall prevail in Indonesia, while the English version shall prevail in jurisdictions outside Indonesia.
Definitions
1. Personal Data: Any information that can identify an individual, either directly or indirectly.
2. HDI Platforms: Websites and digital systems operated by HDI, including HDI Store (www.hdistore.com), HDI One (www.hdione.com), and other official channels.
3. Third-Party Partners: Service providers for payments, logistics, authentication, or mapping services that collaborate with HDI.
4. Member: Consumers who register or purchase products directly and officially through HDI without a minimum transaction requirement.
5. Enterpriser: A type of HDI membership governed by direct selling regulations or relevant industry associations, depending on the jurisdiction in which we operate.
Collection of Personal Data
1. Methods of Collection
  We collect your Personal Data through:
  - Direct Collection: Information you provide when registering, transacting, or communicating with us.
  - Automatic Collection: Technical information gathered via cookies, activity logs, or similar technologies while you use our platforms.
  - Third-Party Sources: Information from trusted partners such as payment processors, logistics services, authentication (e.g., OTP), or mapping services.
2. Types of Personal Data Collected
  We may collect the following data:
  - Identity Data: Full name, email, phone number, physical address, date of birth, gender, religion, marital status, and identification numbers (e.g., ID card or passport for Enterprisers).
  - Financial Data: Bank account details, tax identification number (if required), and payment records for transactions or commissions.
  - Transaction Data: Purchase history, products ordered, payment methods, and delivery information.
  - Technical Data: IP address, device type, geographic location, log files, and usage activities.
  - Communication Data: Information related to your communication preferences (email, SMS, WhatsApp, etc.).
  - Location Data: Your location for mapping or delivery services.
  - Data for AI Recommendation System: We use an AI-based recommendation system that may collect and process your transaction history, product types, quantities, and member ID. This data may be shared with a third-party AI service provider to offer relevant product recommendations.
3. Purpose of Collection
  We collect data to:
  - Provide our services (order processing, user authentication, and account management).
  - Enhance user experience (location-based features, personalized communications, and AI-driven recommendations).
  - Comply with legal obligations and prevent fraud.
  - Monitor website traffic and performance for analytics purposes (e.g., daily/monthly visitor counts, conversion rates, and similar metrics).
  - Providing information about products, services, or special offers relevant to user preferences through various communication channels.
4. No Health Data Collected
  We confirm that we do not collect, process, or store any health-related data at this time.
5. User Responsibility for Data Accuracy
  Users are responsible for ensuring that any Personal Data provided to HDI is accurate, complete, and up to date. In the event of any changes, users must promptly update their Personal Data through mechanisms provided by HDI.
Legal Basis for Data Processing
We process Personal Data based on:
1. Consent: Given when you register or use our services.
2. Legal Obligations: Such as tax reporting or other regulatory requirements.
3. Legitimate Interests: For improving our services and protecting users.
Use of Personal Data
We use Personal Data to:
1. Deliver services (processing orders, managing accounts, and customer support).
2. Send important information, including service updates or promotions. You may opt out of promotional messages by following the “unsubscribe” instructions provided in such communications.
3. Ensure platform security and fraud prevention.
4. Process data for the AI-based recommendation system, which may involve third-party service providers.
5. Perform analytics on platform usage to monitor site performance.
Your Rights as a Data Subject
1. Access to Information
  You have the right to obtain information about the basis and purpose of the request and use of your personal data.

  You have the right to access and request a copy of your Personal Data that we hold about you.
3. Rectification
  You may complete, update, and/or rectify any inaccurate or incomplete Personal Data.
4. Withdraw Consent
  You may withdraw your consent at any time, with the understanding that this may affect your ability to access certain services.
5. Manage Visibility
  You have the right to manage the visibility of certain data via the HDI One portal, except for data considered essential to the network's operations.
6. Erasure
  You may request the deletion of your Personal Data where permitted by applicable laws.
7. File Complaints
  You may lodge a complaint with HDI or the relevant data protection authority regarding the processing of your Personal Data.
  - Procedure for Requests: To submit a request, you may email us at privacy@hdi.com or contact the relevant DPO (see Section 12). Please include your full name, contact information, and a brief description of the request. We may require proof of identity or additional documentation for verification before proceeding with your request.
  - Response to Data Subject Requests: We will respond to your request as soon as reasonably possible and, in any event, no later than thirty (30) calendar days from the date of receipt, unless local regulations require a different timeframe. If we require more time or cannot fulfill your request, we will inform you of the reasons for any delay or refusal.
  - Escalation Process: If you feel that your request has not been handled satisfactorily, you may contact our DPO (see Section 12) or lodge a complaint with the relevant data protection authority.
Data Sharing and Transfers
1. Internal Sharing
  Your data may be shared internally within HDI for:
  - Sales Network Purposes: By default, your personal data, including transaction history, may be accessible to your upline. However, you can manage the visibility of certain data via the HDI One portal, except for data essential to the network's operations.
  - Service Operations: Customer support, data analysis, and platform improvements.
2. Sharing with Third Parties
  We may share your Personal Data with trusted partners, such as:
  - Payment and logistics providers for transaction processing and deliveries.
  - Authentication services (e.g., OTP) to secure your account.
  - Mapping services for location-based features.
  - AI service providers to support our product recommendation system.
  - Analytics providers whose embedded code runs on our site to monitor traffic and performance (e.g., daily/monthly visitor counts, conversion rates, and similar metrics).
  We do not sell or rent your Personal Data to third parties, and any sharing is strictly limited to the scope described in this Policy. All such third parties are required to maintain the confidentiality of your Personal Data and comply with applicable data protection regulations.
3. International Transfers
  If your Personal Data is transferred outside Indonesia (for example, for logistics or other international service providers), HDI ensures that:
  - Transfers are conducted with adequate safeguards in compliance with UU PDP (e.g., standard contractual clauses).
  - The service providers in the destination country comply with local data protection laws (e.g., PDPA in Singapore, PDPO in Hong Kong).
4. Corporate Changes
  In the event of a corporate restructuring, merger, acquisition, or sale of assets, the Personal Data we hold may be transferred as part of that process. We will ensure that any recipient remains bound by confidentiality obligations and processes Personal Data in compliance with applicable data protection regulations.
Data Security and Retention
1. Security Measures:
  We employ encryption, role-based access controls, and regular audits to protect your data. We also conduct periodic internal training to enhance employee security awareness. HDI is ISO27001:2022 certified, reflecting our commitment to maintaining a robust, internationally recognized information security management system.
2. Retention Periods:
  We retain data only as long as it is needed for the purpose for which it was collected or as required by local laws. After the retention period, data will be deleted or anonymized.
Use of Cookies and Similar Technologies
We use cookies to improve platform functionality and enhance user experience, including user authentication, delivering relevant content, and analyzing platform usage.
You can manage your cookie preferences through your browser settings. Disabling certain cookies may affect platform functionality.
Data Breach Management
In the event of a data breach affecting your rights, we will promptly notify you and relevant authorities in accordance with applicable laws.
We will also take remedial actions to minimize any potential impact.
Changes to the Privacy Policy
This Policy may be updated to reflect changes in law, technology, or business practices.
If updates are material, we will display a pop-up notification when you log in to HDI's platform, allowing you to review such changes before continuing to use our services.

Children and Age Restrictions
Only individuals who are at least 18 years old are permitted to become HDI members. We do not accept membership registrations from individuals under the age of 18.
If we become aware that a member is under 18, we may take steps in accordance with applicable laws, including but not limited to suspending or closing the account.

HDI's platforms may contain links to third-party websites or services. This Privacy Policy does not extend to those external sites or services. We encourage you to review the privacy policies of any third-party site or service before providing any Personal Data.
